1. TERMS AND CONDITIONS
1.1 Acceptance of Terms
Welcome to DIL Organization – Health Tech Innovation Corporation ("DIL Organization," "DIL," "Company," "we," "us," or "our").

DIL technology is not intended to replace:

1.5 Eligibility
You must be legally capable of entering into a binding agreement to use our paid services.
Organizations purchasing enterprise services represent that the individual entering into the agreement has authority to bind the organization.
Services involving minors may require consent from a parent, legal guardian, school, healthcare organization, or other authorized party depending upon the service and applicable law.
1.6 Accounts
Users may be required to create an account.
You are responsible for:
- Providing accurate information
- Protecting account credentials
- Maintaining the confidentiality of your password
- Notifying DIL promptly of suspected unauthorized use
- Ensuring that individuals accessing enterprise accounts are properly authorized
You may not share credentials in a manner that violates your subscription agreement.
1.7 Intellectual Property
Unless otherwise indicated, all DIL technology, trademarks, designs, software, workflows, graphics, documentation, algorithms, interfaces, text, videos, course materials, product names, and other content are owned by or licensed to DIL Organization.
This includes, where applicable, trademarks and product names such as DIL Sentinel AI™ and other DIL-branded technologies.
No user receives ownership rights by purchasing, accessing, testing, or using a DIL service.
You may not reproduce, reverse engineer, resell, copy, scrape, modify, distribute, or commercially exploit DIL intellectual property except where expressly authorized in writing.
1.8 Third-Party Services
Our products may integrate with third-party providers, software, cloud infrastructure, payment processors, telecommunications providers, healthcare systems, EHR systems, analytics platforms, or APIs.
DIL is not responsible for third-party systems outside our reasonable control.
Third-party services may be governed by separate terms.
1.9 Availability
We aim to provide reliable services but do not guarantee uninterrupted availability.

Organizations participating in pilots may be subject to separate pilot agreements, BAAs, data-processing agreements, security requirements, or statements of work.
1.11 Payment
Fees must be paid according to the pricing displayed at checkout, on a product page, in an invoice, order form, statement of work, enterprise agreement, or subscription agreement.
Taxes may be added where required.
1.12 Suspension and Termination
DIL may suspend or terminate access for:
- Nonpayment
- Fraud
- Security threats
- Illegal activity
- Abuse of systems
- Violation of these Terms
- Unauthorized access
- Conduct threatening patient, provider, employee, or public safety
1.13 Disclaimer of Warranties
To the maximum extent permitted by law, services are provided on an "as is" and "as available" basis unless a separate written agreement states otherwise.
DIL does not guarantee that every service will be error-free, uninterrupted, or appropriate for every clinical or business use.
1.14 Limitation of Liability
To the maximum extent permitted by applicable law, DIL shall not be liable for indirect, incidental, special, punitive, or consequential damages arising from use of our services.
Enterprise agreements may contain separate negotiated limitations of liability.
1.15 Governing Law
Unless another agreement specifies otherwise, these Terms are governed by applicable United States law and the laws applicable to DIL Organization as a Delaware corporation, subject to applicable federal and state requirements.
1.16 Changes
DIL may update these Terms periodically.
The "Last Updated" date will indicate the most recent revision.
2. ACCEPTABLE USE POLICY — AUP
This Acceptable Use Policy governs use of DIL websites, APIs, applications, AI products, digital-health services, software, systems, and networks.
2.1 Permitted Use
Users may use DIL services only for lawful, authorized, and legitimate purposes consistent with their subscription or agreement.
2.2 Prohibited Conduct
Users may not use DIL services to:
- Commit or facilitate illegal activity
- Defraud or impersonate another person
- Access another person's account without authorization
- Attempt unauthorized access to DIL infrastructure
- Introduce malware, ransomware, viruses, or harmful code
- Conduct denial-of-service attacks

DIL products should not be used as the sole basis for emergency, diagnostic, medication, admission, discharge, involuntary-treatment, or other high-impact clinical decisions unless explicitly validated and authorized for that purpose.
2.4 Security Testing
Penetration testing or vulnerability testing against production infrastructure without written authorization is prohibited.
Security vulnerabilities should be reported to DIL.
2.5 Enforcement
Violations may result in:
- Warning

- Investigation

7. REFUND AND CANCELLATION POLICY
7.1 General Principle
DIL seeks to provide transparent pricing and fair treatment of customers.
Refund eligibility depends upon the type of product purchased.
7.2 Digital Courses and Educational Materials
Because digital educational products may provide immediate access to proprietary course content, downloadable materials, cheat sheets, videos, assessments, or other intellectual property, purchases may become non-refundable once substantial digital content has been accessed or downloaded, except where otherwise required by law.
If a customer experiences a technical problem preventing access, DIL will first attempt to restore access.
7.3 Duplicate or Erroneous Charges
Customers who believe they were:
- Charged twice
- Charged the wrong amount
- Charged after cancellation
- Charged without authorization
should contact DIL promptly.
Verified billing errors will be corrected.
We recommend reporting billing issues within 7 calendar days of discovery.
7.4 Subscription Services
Customers may cancel eligible subscriptions according to the cancellation terms displayed at checkout or in the applicable subscription agreement.
Unless otherwise stated:
- Cancellation prevents future renewals.
- Cancellation does not automatically generate a refund for a billing period already started.

Enterprise SaaS contracts, pilots, healthcare deployments, implementation services, API agreements, kiosks, custom integrations, and professional services are governed by the executed agreement, statement of work, order form, or pilot contract.
Refunds for enterprise services will therefore follow the applicable contract.

may be non-refundable once work has begun, except where the contract states otherwise.

7.8 Failed Service Delivery
If DIL is unable to deliver a paid product or service because of an issue attributable to DIL, the Company may, depending on the circumstances:

- Issue account credit
- Extend service

7.9 Promotional Purchases
Promotional, discounted, scholarship, bundled, or limited-time purchases may have specific refund terms disclosed before purchase.
7.10 Chargebacks

Fraudulent chargebacks may result in account suspension or termination.
