TERMS AND CONDITIONS

1. Acceptance of Terms

Welcome to DIL Organization – Health Tech Innovation Corporation ("DIL Organization," "DIL," "Company," "we," "us," or "our").

These Terms and Conditions govern your access to and use of our websites, applications, software platforms, artificial intelligence products, digital-health services, educational products, subscriptions, demonstrations, marketplaces, courses, and related services.

By accessing or using any DIL website, product, application, or service, you agree to these Terms.

If you do not agree with these Terms, you should not access or use our services.


2. Our Business

DIL Organization develops technology solutions that may include artificial intelligence, healthcare technology, behavioral-health technology, clinical workflow tools, digital-health products, healthcare administrative solutions, educational resources, software-as-a-service products, marketplaces, and related technology services.

Products and services may include DIL Sentinel AI™ and other DIL-developed platforms, products, educational programs, and technology solutions.

Certain products may be in development, testing, demonstration, pre-pilot, pilot, beta, or pre-commercial stages.


3. No Medical Advice

Unless expressly stated otherwise in a separate clinical services agreement, information available through our website and technology products is provided for informational, educational, screening, administrative, workflow, decision-support, or navigation purposes.

DIL technology is not intended to replace:

  • A licensed healthcare professional
  • A physician or psychiatric evaluation
  • Emergency medical services
  • Clinical judgment
  • Diagnosis or treatment by a qualified professional

Users should not delay seeking professional care because of information obtained through a DIL product.


Emergency Notice

If you believe you or another person is experiencing a medical or psychiatric emergency, call 911 or your applicable local emergency service immediately.

In the United States, individuals experiencing a mental-health or suicide-related crisis may also call or text 988.


4. AI Disclaimer

Some DIL products may use artificial intelligence, machine learning, large language models, automated decision-support tools, conversational AI, predictive technologies, or related computational systems.

AI-generated information may contain errors, omissions, incomplete information, or outputs requiring professional interpretation.

Where a DIL product is used in a healthcare environment, AI is intended to support—not independently replace—appropriately qualified human professionals unless expressly authorized by applicable law, regulation, validation, and product documentation.


5. Eligibility

You must be legally capable of entering into a binding agreement to use our paid services.

Organizations purchasing enterprise services represent that the individual entering into the agreement has authority to bind the organization.

Services involving minors may require consent from a parent, legal guardian, school, healthcare organization, or other authorized party depending upon the service and applicable law.


6. Accounts

Users may be required to create an account.

You are responsible for:

  • Providing accurate information
  • Protecting account credentials
  • Maintaining the confidentiality of your password
  • Notifying DIL promptly of suspected unauthorized use
  • Ensuring that individuals accessing enterprise accounts are properly authorized

You may not share credentials in a manner that violates your subscription agreement.


7. Intellectual Property

Unless otherwise indicated, all DIL technology, trademarks, designs, software, workflows, graphics, documentation, algorithms, interfaces, text, videos, course materials, product names, and other content are owned by or licensed to DIL Organization.

This includes, where applicable, trademarks and product names such as DIL Sentinel AI™ and other DIL-branded technologies.

No user receives ownership rights by purchasing, accessing, testing, or using a DIL service.

You may not reproduce, reverse engineer, resell, copy, scrape, modify, distribute, or commercially exploit DIL intellectual property except where expressly authorized in writing.


8. Third-Party Services

Our products may integrate with third-party providers, software, cloud infrastructure, payment processors, telecommunications providers, healthcare systems, EHR systems, analytics platforms, or APIs.

DIL is not responsible for third-party systems outside our reasonable control.

Third-party services may be governed by separate terms.


9. Availability

We aim to provide reliable services but do not guarantee uninterrupted availability.

Services may occasionally be unavailable because of:

  • Maintenance
  • Security events
  • Upgrades
  • Third-party outages
  • Internet failures
  • Force majeure events
  • Regulatory requirements


10. Beta and Pilot Services

Beta, prototype, demonstration, testing, pilot, pre-pilot, and research services may contain incomplete functionality.

Such services may change or be discontinued.

Organizations participating in pilots may be subject to separate pilot agreements, BAAs, data-processing agreements, security requirements, or statements of work.


11. Payment

Fees must be paid according to the pricing displayed at checkout, on a product page, in an invoice, order form, statement of work, enterprise agreement, or subscription agreement.

Taxes may be added where required.


12. Suspension and Termination

DIL may suspend or terminate access for:

  • Nonpayment
  • Fraud
  • Security threats
  • Illegal activity
  • Abuse of systems
  • Violation of these Terms
  • Unauthorized access
  • Conduct threatening patient, provider, employee, or public safety


13 .Disclaimer of Warranties

To the maximum extent permitted by law, services are provided on an "as is" and "as available" basis unless a separate written agreement states otherwise.

DIL does not guarantee that every service will be error-free, uninterrupted, or appropriate for every clinical or business use.


14. Limitation of Liability

To the maximum extent permitted by applicable law, DIL shall not be liable for indirect, incidental, special, punitive, or consequential damages arising from use of our services.

Enterprise agreements may contain separate negotiated limitations of liability.


15. Governing Law

Unless another agreement specifies otherwise, these Terms are governed by applicable United States law and the laws applicable to DIL Organization as a Delaware corporation, subject to applicable federal and state requirements.


16. Changes

DIL may update these Terms periodically.

The "Last Updated" date will indicate the most recent revision.
